These Terms of Service ("Terms") govern your access to and use of the KeplerAI platform, website and related services (the "Services") provided by Tanitapps Corp ("Tanitapps", "we", "us"), a company based in the United States. By accessing or using the Services, you agree to these Terms.
1. The Services
KeplerAI is a multi-tenant SaaS for compliance and risk workflows (KYC, AML, fraud, credit scoring, IFRS 9 provisioning and screening). It operates a control plane hosted by us and a data plane (Runner) that you deploy and operate within your own infrastructure.
2. Accounts & tenants
- You must provide accurate registration information and keep credentials secure.
- You are responsible for activity under your tenant and for managing user roles (RBAC).
- You must have the authority to bind your organization to these Terms.
3. Your data and the data plane
You retain all rights to your data. Because your raw data resides solely in your data plane, you are responsible for its lawful collection, storage, security and processing within your environment, including obtaining any necessary consents and complying with applicable laws. We process only account information and operational metadata as described in the Privacy Policy.
4. Acceptable use
You agree not to:
- Use the Services unlawfully or to infringe others' rights.
- Attempt to breach isolation between tenants or circumvent security controls.
- Reverse-engineer, resell or misuse platform-managed AI prompts, templates or components.
- Interfere with or disrupt the integrity or performance of the Services.
5. AI outputs
The Services generate code, analyses and documentation using AI. Outputs may contain errors and are provided to assist, not replace, professional and regulatory judgment. You are responsible for reviewing and validating outputs before relying on them for compliance decisions.
6. Fees
Paid plans and add-ons are billed as agreed in an order or subscription. Fees are non-refundable except as required by law or expressly stated. Details are described on our Pricing page and in your order. Specific commercial terms are set out in your order form.
7. Implementation & advisory services
Professional services (deployment, model tuning, documentation, advisory) are provided as scoped in a separate statement of work. Advisory does not constitute legal or regulatory advice.
8. Intellectual property
We and our licensors own the Services, including the platform, templates and platform-managed AI prompts. You own your data and your trained models. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.
9. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms.
10. Warranties & disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages. Our aggregate liability is limited to the amounts you paid for the Services in the 12 months preceding the claim.
12. Indemnification
You will indemnify us against claims arising from your data, your use of the Services, or your breach of these Terms.
13. Term & termination
These Terms apply while you use the Services. Either party may terminate for material breach not cured within a reasonable period. On termination, your right to use the Services ends; your data remains in your data plane.
14. Governing law
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws principles. The courts located in Boulder, Colorado have exclusive jurisdiction.
15. Changes
We may update these Terms. Continued use after changes take effect constitutes acceptance.
